Har vyakti apna business karna chaheta hai vo small capital business ho ya large capital business ho, business start karne se pahle aapko kai bato ka dhyan rakhna hota hai. Jo vyakti business karne ki shuruwat karte hai unko business se related kuch jada jankari nahi hoti hai jinke karn se unhey kai dikkato ka samna karna padta hai. aaj is post mein aap sabhi ko business se related or company ke registration tak ki puri jankari dene ja rha hu.

India ab ek startup companies ka bahut bda kendra ban gya hai. kai navyuvak  mein apna khud ka business start karne ki sochte hai, inki help ke liye Indian government ne Start up India platform bhi launch kiya hai, jo ki naye business open karne walo ki step to step help karta hai.

India mein ek company ko kaise register karaye iske liye kai resource available hai, lekin ek company ke registreation ki prakriya (process) abhi bhi jatil hai. Prastavit (proposed) company ke nam ki availability se lekar usme lagne wale important document ko pura karne ke liye  aur form ko bharne tak ek nya vyakti jo pahli bar kisi company ko open karne ki sochta hai vah aisa nahi kar skata kyoki usko itni jankari nahi hoti hai.

Yadi aap koi business karne ki yojna bna rahe hai ya existing proprietorship business ko kanooni roop  se valid aur incorporated company ko upgrade karne ki soch rahe hai to yah article apke liye hi likha hai.

Yaha mein aap abhi ko yah batane ja rahu ki India mein ek Company ko register karvana hai to kya process hai. Agr aap log mere is artile ko last tak read karte hai to aapko company registration se related sari jankari milegi jo apko company ke registration karvane me help hogi.

 Company ke prakar. (Type of company.)
  1. One person company.
  2. limited company.
  3. private limited company.
  4. Limited liability partnership
India mein Firm start karne ke liye bahuht kam formalities karni hoti hai, aur yah bahut saral bhi hota hai.
  1. Aapko partnership deed ki jarurat hoti hai jab aap company partnership mein start karte hai.
  2. Shop leni hoti hai aur Municipal committee ya Panchayat se establishment certificate bhi lena hota hai.
  3. Firm ke name par ek PAN card banvana hota hai.
  4. Other Registration jaise:- Service tax, Sale tax, jo ki aapke firm ke liye jaruri hai.
  5. Ek bank account bhi firm ke name se oprn karna hota hai.

 Bharat mein Company ke panjiakrn ki prakriya kya hai? What is the Procedure to register Company in India?

India mein Company ke registration ke liye kai formalities ko puri karna hota hai. Kyoki yah ek jatil kaam hai. India mein corporate ke mamlo ko viniyamit aur prashashit karne ka kam Ministries of Corporate Affairs, Indian Company ACt 2013, 1956 aur  LLP act 2088 ke antargat karta hai. India mein Private company aur Limited Liability company ke registration ke liye IN step ko follow krna hota hai.

Step 1.-  Company ka name select karna. ( Selection of Company name).
Kisi bhi business ko start karne se pahle us company ka kya naam hoga yah sochna hota hai. Kyoki vah business ki ek pehchan hoti. Isi nam se har vyakti us company ko yad rakhta hai aur yahi pehchan hoti hai.Isi liye jaruri hai ki Company ka naam soch le kya hoga.
Kisi bhi company ka naam sochne se pahle hume in bato ko dhyan mein rakhna hota hai  jaise:-

  1. Company ka name sabse alag ho jiska matlab yah hai ki usi naam ki koi aur company na ho.
  2. Company ka name aisa ho jo sabke samjh mein aye.
  3. Jada lamba name na ho ki log yad hi na rakh paye.
  4. Yadi ek name se company pahle bani hai to usi name ki company aap dubara nahi bna sakte hai.
Company ke name ko select karne ke liye aap Ministries of Corporate Affairs (M.C.A) ki website par ja kar waha se help le sakte hai. waha aapko puri detail mein company ka sahi name select karne mein help mil jaati hai.

Step 2.-  Company ke naam ka panjikarn. (Registration of  Company name.)
 Ab Aapko Company ke name ki approval aur registration ke liye MCA ki weibsite mein ja kar ek prescribed form bharna hoga aur us form ke anusar apko kuch jaanjari bhi deni hogi jaise :
  1. Company ka name bharna hoga.
  2. Director aur Partner ke beech ka share ratio kitna hai.
  3. Share Capital.
Step 3.- Digital certificate / DIN prapt karna hoga. ( Obtained Digital certificate nad DIN)
Digital certificate ko sarkari niyukt sewa pradata se prapt karna hoga uske baad aapko DIN ke liye avedan karna hoga.

Step 4.- Company Incorporation.
Upar batai gyi sabhi formalities ko jab pura kar lenge to aap ek new company ke smavesh ke liye taiyar hai.

Ek company ke liye yah sab karna bahut jaruri hai use ek company ki post par lane ke liye.
Ab Aap PAN card TAN aur other regulatory formalities ki registration ke liye avedan kar sakte hai.

Company ke registration ke liye kin document ki jarurat hoti hai. ( Important Document need for Registration of Company)

India mein company ke registation ke liye kuch formalities hai jinko pura karna har ek vyakt ke liye jaruri hai jo company start karna chahta hai.
  1. Digital signature.
  2. DIN ( Director's Identification number)
  3. Address proof.
  4. Photo ID proof.
  5. Recent passport size photo.
1.Photo ID proof / Address proof.- Proposed Director ke name par uska Photo ID aur Address proof jaise. 
  1. Driving licence.
  2. Adhar card.
  3. Electricity bill.
  4. Ration card.
  5. Voter ID.
  6. Latest Telephone bill.
2.-Director aur Partner ke name par PAN card.
Permanent Account number(PAN) yah card ek pehchan sankhya hoti hoti hai jo ki India ke Income tax vibhag (department) ke dwara diya jata hai jab koi PAN card ke liye apply karta hai. Company ke har ek director aur Partnre's ke pass ek valid PAN card ka hona jaruri hai.

3.- Digital Signature Certificate.
Digital Signature certificate ka istemal internet ke madhyam se online document dakhil karte time kiya jata hai.Yah digital signature ek handwriting signature ki tarah hi hota hai. Is digital signature mein extra data ko attached kiya jata hai.Yah ek important things hai jo ki agly step mein document jma karne ke liye aapko digital signature ki jarurat hoti hai.

4. Director Identification Number (DIN). Yah ek unique identification number hota hai jo ki director ke pass hota hai. Yah DIN apne ke liye aapko MCA ki official website par jakar wha aapko  ek form bharna hoga. Eform DIR-3 yah form aapko website se download krna hoga aur ise bharna hoga. Isme Digital signautre karna hota hai aur is form ko bhar kar ise ab MCA  portal par upload karna hota hai.
Is form ko upload karne ke baad apko iske anusar batai gyi fees pay karni hoti hai.

5. Company incorporation formalities.
India mein kisi bhi Private company aur Partnership company ko register karane se pahle aapko Digital signature certificate aur Director Identification number lena bahut jarurui hota hai.

 Registration of Company Name.
In sab kaam ko kar lene ke baad ab aap apni company ke registration ke taiyar hai.
Registrar of company ke anusar aapki company ka name unique hona chahiye.
Ek name darj karne liye aapko lagbhag 3-4 name alag alag shujav ke sath subscribe form mein bharna hoga.

Company ka name jise aap register karvana chahte hai, uske liye aapke dwara diye gaye anya sabhi namo se available hona chahiye. jisme se ek name ko select kiya jayega. Form 1A bharna hoga aur Registrar of company dwara company ke name ki approval milne tak wait karna hoga.
Apke dwara yah karne ke baad Incorporation ke certificate ke liye FORM1, Form18, Form32 bharna hoga. 
Company ke name ke approval ke liye aapko 500 rupee's ka payment karna hoga, aur certificateion ke liye 4000-/ se 10000-/ rpuees ka payment karna hoga. Company ke name ko approval milne mein 2 din ka time lag skta hai aur certification ke liye 1 week ka time lag sakta hai.

Certification of Incorporation. 
Incorporation ke certification ke liye aapko kuch document prepare kare hote hai aur unke verified aur stamped lag jane ke baad aap next step par ja sakte hai. Certification ki prakriya ko pura karne ke liye aapko is prakriya ki jarurat hogi.
Is Document mein shamil hai 100 rupees ka stamped paper vo bhi signed kiya hua sath mein Memorandum of association aur Rs 1000-4000 ke stamp paper ke sath Article of association,   Form 32 ke antargat , company ke director ke consent letter ki copy, 100 rs ke judicial stamp paper ke sath power of attorney. yah sab Form 1 ke sath attached hona jaruri hai.


MOA or AOA.
Memorandum of association or Article of assassination yah ek document hai jo ki har company ke liye jaruri hota hai. Is document mein compnay ka name, address, Dirctor's ke name, paid-up capital aur director ke beech share ke distribution ki puri jankari likhi hui hoti hai. Company ke registration ke time yah document lagana hota hai.

Tax Account Number / Permanent Account Number.
 Company ke name se PAN card ka banna jaruri hota hai, lekin TAN depends karta hai business ke nature par. Registered company ke liye aapko PAN TAN ke liye apply karna hota hai. IS formalities ko pura hone mien lagbhag week time lgta hai. PAN or TAN ke liye aapko usi ke anusar batai gyi fees payment karni hogi.

Iske alawa aapko VAT( Value Added Tax) ke liye rgistration karnvana hoga. Professional Tax, Company ke name par ek Rubber stamp,Shop leni hogi, establishment  certificate ke liye Municipal Committee  ya Pachayat mein apply karna hoga.
Ek bank account company ke name par open karna hota hai.

Public limited company ke mamle mien aap registration ke baad apni company start kar sakte hai.
 Yah company ke registration ki puri prakriya hone mein lagbhag 4 week se 6 week tak ka time lag sakta hai.
